Licence Terms for Organisations
These terms apply to the FilePresto Small Team, Team and Team Plus plans. Last updated 29th September 2026.
1. Who these terms are between
1.1 These terms are between Brian Rooney, trading as FilePresto, of Office 1, Technology House, 9 Newton Place, Glasgow G3 7PR ("FilePresto", "we", "us") and the organisation named at checkout ("the Organisation", "you").
1.2 The person who completes the purchase confirms that they are buying for the Organisation and are authorised to accept these terms on its behalf.
1.3 These terms apply to the Small Team, Team and Team Plus plans ("organisation plans"). They do not apply to individual Day Pass, Monthly or Yearly purchases, which are covered by the FilePresto terms of use.
1.4 Payment for organisation plans is processed through Stripe Managed Payments, whose merchant-of-record entity handles the payment transaction, applicable indirect taxes, receipts and tax invoices. These terms are between the Organisation and FilePresto and govern the Organisation's licence to use FilePresto and the support and other benefits supplied by FilePresto.
1.5 Organisation plans are for customers buying wholly or mainly for business, professional, public-sector, educational, charitable or other organisational purposes. They are not consumer plans.
2. What you receive
2.1 For the plan period, the Organisation receives: (a) one team code that removes FilePresto's 5-file batch limit on every tool for the people covered by the plan; (b) the FilePresto security and data protection pack and software bill of materials; and (c) email support at [email protected], with a target first response within two working days for Small Team and Team, and one working day for Team Plus. A working day is Monday to Friday excluding bank holidays in Scotland. A response time is not a promise that the issue will be resolved within that period.
2.2 Team Plus may also show the Organisation's name on the pages its staff see, if the Organisation asks.
2.3 Single files and batches of up to 5 files remain free for everyone, with or without a plan.
3. The licence
3.1 We grant the Organisation a non-exclusive, non-transferable licence, for the plan period, to allow up to the number of people covered by its plan (Small Team 5, Team 50, Team Plus 250) to use FilePresto with the team code, for the Organisation's own purposes.
3.2 The Organisation may not resell, sublicense or rent FilePresto or the team code, or provide FilePresto as a service to anyone outside the Organisation.
3.3 FilePresto's own software, design and content remain ours. The open-source components used by FilePresto remain under their own licences, which are listed on the licences page and in the bill of materials; nothing in these terms restricts any right those licences give.
4. The team code
4.1 The team code works like a password. Keep it within the Organisation; do not publish it or share it with anyone outside the Organisation.
4.2 FilePresto has no accounts and does not track devices, so the limit on the number of people is a term of this licence rather than a technical limit. The Organisation is responsible for keeping to it.
4.3 If the code is exposed, or someone who knows it leaves, the Organisation may have the code replaced at no charge. The old code will then stop working.
4.4 We may replace or stop a code that has been published, shared outside the Organisation or otherwise misused. Where practicable we will tell the Organisation first and issue a replacement.
4.5 The code stops working when the plan ends, is cancelled or is refunded.
5. Your files
5.1 FilePresto's tools run inside the web browser on the user's own device. Files, file names and file contents are not sent to us and we do not receive, store or process them.
5.2 Because the processing happens on the Organisation's own devices, the Organisation should keep its original files and check any converted document that matters before relying on it.
5.3 Please do not send confidential documents to us in support emails unless we ask for a specific example and you are content to share it.
6. Changes to the tools
6.1 We may update, improve, replace or withdraw individual tools and components. We will not, during a paid plan period, materially remove the core paid benefits described in section 2 without providing a reasonable replacement or other fair remedy, which may include a pro-rata refund for the unused part of the plan period.
7. Price, renewal, cancellation and refund
7.1 Plans are yearly and renew automatically at the price applying at renewal. If that price will increase, we will give at least 30 days' notice before renewal.
7.2 The Organisation may cancel at any time; the plan then runs to the end of the period already paid and does not renew.
7.3 If the Organisation is not satisfied, it may ask for a full refund within 14 days of its first-ever purchase of any FilePresto organisation plan. Renewals, upgrades and later purchases are not refundable unless these terms say otherwise or a refund is required by law.
7.4 Prices shown are before tax. Any tax is shown at checkout and collected by the merchant of record.
7.5 Terms printed on a purchase order or similar document do not apply unless we agree them in writing.
8. Suspension
8.1 We may suspend a team code at once if it is being misused or if suspension is needed to protect the security of FilePresto or its users. In other cases we will give reasonable notice where practicable.
9. Availability
9.1 FilePresto is provided on an "as available" basis. We aim to keep it available and working, but we do not guarantee uninterrupted or error-free availability or that every tool will work with every file.
10. Liability
10.1 Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited or excluded.
10.2 Subject to 10.1, we are not liable for loss of profits, revenue, business, goodwill or anticipated savings, or for any indirect or consequential loss.
10.3 Subject to 10.1, our total liability under or in connection with these terms in any 12-month period is limited to the greater of £1,000 and the fees paid or payable by the Organisation for its plan in that 12-month period.
11. Data protection
11.1 We do not receive the contents or names of the Organisation's files. For the limited information we do receive (the purchaser's name and email address, the Organisation's name, support emails and the technical records described in the security pack), we act as controller, as set out in our privacy notice. We do not act as the Organisation's processor.
12. General
12.1 Neither party is liable for delay or failure caused by events beyond its reasonable control.
12.2 The Organisation may not transfer these terms without our written agreement. We may transfer these terms to a company that Brian Rooney controls and that takes over the FilePresto business, provided that company assumes our obligations under these terms and the transfer does not materially reduce the Organisation's rights. We will tell the Organisation when a transfer takes effect.
12.3 These terms, with the checkout details and the documents they refer to, are the whole agreement for organisation plans.
12.4 Notices go to [email protected] and to the email address given at checkout.
12.5 These terms are governed by the law of Scotland, and the courts of Scotland have exclusive jurisdiction.
